1. Acceptance of Terms

By accessing or using the services provided by Ehsan Developers ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you should not use our services. These terms apply to all visitors, clients, and users of our website and services.

2. Services

Ehsan Developers provides software development, web design, mobile application development, UI/UX design, cloud solutions, and related IT consulting services. The specific scope, deliverables, timeline, and pricing for each project are defined in a separate project proposal or contract agreed upon by both parties before work begins.

3. Project Proposals and Contracts

Before commencing work, we provide a detailed project proposal outlining scope, deliverables, timeline, and cost. A project begins only after written acceptance of the proposal (via email, signed contract, or digital agreement) and receipt of any required upfront payment. Changes to the agreed scope are handled through a formal change request process and may affect timeline and cost.

4. Payment Terms

• Payment schedules are defined in the project proposal, typically structured as milestone-based payments.
• A deposit (typically 30-50% of the project total) is required before work begins.
• Invoices are due within 14 days of issuance unless otherwise agreed.
• Late payments may result in project suspension and a late fee of 2% per month on outstanding balances.
• All prices are quoted in USD unless otherwise specified.

5. Intellectual Property

Upon full payment of all project fees:

• The client receives full ownership of the custom code, designs, and deliverables created specifically for their project.
• Ehsan Developers retains ownership of pre-existing tools, libraries, frameworks, and components used across multiple projects ("Company Tools").
• The client is granted a perpetual, non-exclusive license to use any Company Tools included in their deliverables.
• We reserve the right to showcase the project in our portfolio unless a confidentiality agreement states otherwise.

6. Client Responsibilities

To ensure successful project delivery, the client agrees to:

• Provide timely feedback, content, and approvals as required during the project
• Designate a primary point of contact for project communication
• Ensure that all materials provided (text, images, logos) do not infringe on third-party rights
• Provide necessary access to systems, hosting, and accounts when required

Delays caused by late client responses may affect the project timeline and are not the responsibility of Ehsan Developers.

7. Warranties and Disclaimers

We warrant that all services will be performed in a professional and workmanlike manner. We provide a bug-fix warranty period (as specified in your project plan) after project delivery, during which we will fix any defects in the delivered software at no additional cost.

Beyond this warranty, services are provided "as is." We do not guarantee that software will be error-free, uninterrupted, or compatible with all third-party systems. We are not responsible for issues arising from client modifications, third-party integrations not managed by us, or hosting environments outside our control.

8. Limitation of Liability

To the maximum extent permitted by law, Ehsan Developers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from the use of our services. Our total liability for any claim arising from a project shall not exceed the total amount paid by the client for that specific project.

9. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project. This obligation survives termination of the agreement. If a separate NDA is signed, its terms take precedence over this section.

10. Termination

Either party may terminate a project with 14 days' written notice. Upon termination:

• The client pays for all work completed up to the termination date.
• Ehsan Developers delivers all completed work and materials produced up to that point.
• Any pre-paid fees for undelivered work are refunded on a pro-rata basis.

11. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes arising from these terms or our services shall be resolved through good-faith negotiation first. If negotiation fails, disputes shall be submitted to binding arbitration in Nairobi, Kenya.

12. Changes to These Terms

We reserve the right to update these Terms of Service at any time. Changes will be posted on this page with a revised "Last updated" date. Continued use of our services after changes constitutes acceptance of the updated terms. For active projects, the terms in effect at the time of contract signing apply.
